World Global Solutions Australia Pty Ltd is provided to you by Fulfil NET on an “AS IS”, “AS AVAILABLE” basis subject to the provisions contained herein for your personal or business use only. Any other use or attempt to use World Global Solutions Australia Pty Ltd for other purposes, directly or indirectly, by you or by a third party is prohibited.
  • Unless explicitly stated otherwise, any new features that augment or enhance the current service shall be subject to these Terms and Conditions of Service. The Service consists of website building services and software and/or search engine marketing services. Your participation in the Service is conditional upon your acceptance of these stated terms and conditions. Please read the following terms and conditions. Your acceptance of these terms and conditions is indicated by your payment for the services.
  • World Global Solutions Australia Pty Ltd reserves the right, at its discretion, to change or modify all or any part of these Terms and Conditions at any time.   • transmit, upload or post any Information that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • disrupt the normal flow of Information available on or through World Global Solutions Australia Pty Ltd or otherwise act in a manner that negatively affects other participants or users, transmit, upload or post hidden pages or images, interfere with or disrupt the functionality of World Global Solutions Australia Pty Ltd or the World Global Solutions Australia Pty Ltd servers or networks, or violate any requirements, procedures, policies or regulations of networks connected to World Global Solutions Australia Pty Ltd, the World Global Solutions Australia Pty Ltd network, servers, directories, databases and listings
  • transmit, upload or post any unsolicited advertising, promotional materials, or any other forms of solicitation;
  • intentionally or unintentionally violate any applicable local, state, national or international law or regulation;.

5. Fees and Payments

  • You agree to pay all fees and charges incurred by you or any third party using your Service account (whether or not authorised by you) at the rates in effect for the billing period in which such fees and charges are incurred, including, but not limited to applicable taxes, and charges for any products or services offered for sale through the Service by WGS or by any third party.
  • Your right to use the Service is subject to any limits established by your credit card company if billing is through a credit card. You shall be responsible for obtaining all telephone, telephone access lines, computer equipment and other products or services necessary to access and use the Service. You shall be responsible for all charges associated with accessing and maintaining a connection to the Service (e.g. charges imposed by an Internet access provider, or your local telephone company). Ongoing hosting and Search Engine Marketing fees (including costs associated with World Global Solutions Australia Pty Ltd maintaining your projects will continue automatically, at the end of your subscription until such time as we receive a cancellation in accordance with our Cancellations Policy.
  • World Global Solutions Australia Pty Ltd shall provide you with SOCIAL MEDIA OR DIGITAL MARKETING services. The services guarantee to maximise your websites performance in SEARCH ENGINES for your subscription amount (less GST and account maintenance fees).
  • The subscription amount is the amount agreed to on the order form at the time of sale. You understand that your subscription amount (less GST and account maintenance fees) is divided into equal daily budgets for the term of your subscription.
  • World Global Solutions Australia Pty Ltd works closely with you to identify realistic goals and timelines and employ the appropriate mix of tactics to maximize traffic to your business.
  • If your instalment payment has not been made, as per your payment terms, your account will be suspended until payment has been received and a reactivation fee of $500 will apply. If there is no payment after 30 days for an instalment, as per the payment terms, the account will be cancelled and the account will not be subject to any form of a refund. Cancelled accounts cannot be reactivated and any account history or information will not be retrievable.
  • The invoicing schedule for Search Engine fees (including GST) for any services are equivalent to the agreed upon package as per the Order Form shall be invoiced in advance i.e. at the beginning of the start of subscription term. World Global Solutions Australia Pty Ltd shall provide reporting to The Client on a permanent 3,6 OR 12 month basis for the Term of the subscription. All notices will be served in writing and shall be sent by mail, facsimile or electronic mail to the Client hereto at their respective addresses as specified on the order forms. Subscription services and the set up operations required for the same will commence only on the payment of the fee.
  • Email and phone support only.
  • 48 hour response time.
  • If any Website is created for FREE as a SPECIAL and upon their OPT out, the CLIENT pays $2,200 one time fee to transfer the website & Domain Name to their hosting to gain ownership of the website.
  • Personalised Account Setup: An online marketing strategy tailored to suit your business.
  • Same Day response time Dedicated Account Manager: Google Qualified Professional to manage your online account.
  • Phone or email customer support
  • Account Managers direct line and email address so you speak to the same person every time.

6.Cancellations Policy

Only WGS may, at its sole discretion, allow you to cancel your contract.​

  • Notification of intent to cancel must be provided in writing or by email to info@wglobalsolutions.com.au within 30 days prior to the expiration date of your account.
  • Should World Global Solutions Australia Pty Ltd approve this cancellation and the customer’s account is not yet active, a cancellation fee of 15% of your invoiced amount will apply. You are responsible for all charges incurred up to the time the account is cancelled, including all charges for the month in which cancellation became effective
  • You must to notify World Global Solutions Australia Pty Ltd if you do not wish to renew your subscription before the end of the contract. World Global Solutions Australia Pty Ltd will automatically renew your subscription at the end of each term and bill the then-current renewal fee to the same credit card or credit line your original subscription fee was billed to, or to the current credit card we have on our files. World Global Solutions Australia Pty Ltd reserves the right, at its sole discretion, to restrict, suspend or terminate your access to all or any part of the Service at any time for any reason without prior notice or liability. World Global Solutions Australia Pty Ltd may change, suspend or discontinue all or any aspect of the Service at any time, including the availability of any Service feature, database, or content, without prior notice or liability. Any Web hosting or any IT Data or back up transfer may incurr a one time fee from $4000 + gst.

Debtor Policy

Default & Consequences Of Default
  • Interest on overdue invoices shall accrue from the date when payment becomes due daily until the date of payment at a rate of 2.5% per calendar month and shall accrue at such a rate after as well as before any judgement.
  • If the Buyer defaults in payment of any invoice when due, the Buyer shall indemnify the Seller from and against all the Seller’s costs and disbursements including on a solicitor and own client basis and in addition all costs of collection.
  • Without prejudice to any other remedies the Seller may have, if at any time the Buyer is in breach of any obligation (including those relating to payment), the Seller may suspend or terminate the supply of Goods to the Buyer and any of its other obligations under the terms and conditions. The Seller will not be liable to the Buyer for any loss or damage the Buyer suffers because the Seller exercised its rights under this clause.

Terms and Conditions of Web Site Service

Delegation:

  • You understand that World Global Solutions Australia Pty Ltd requires the registry key for your domain name in order to publish your website to the Internet if you have World Global Solutions Australia Pty Ltd build or makeover your existing website in the World Global Solutions Australia Pty Ltd tool. It is your responsibility to provide your registry key to World Global Solutions Australia Pty Ltd with the information you return in your Welcome Pack. You understand that any delay in providing your registry key to World Global Solutions Australia Pty Ltd will delay the publication of your website. You also understand that you will be billed for the construction of your website, even if you do not provide your registry key to WGS. You also understand that even if your registry key is provided, there may be a delay in the publication of your website due to latencies in the propagation of domain name information across the Internet. You understand that these propagation latencies are outside of World Global Solutions Australia Pty Ltd control and World Global Solutions Australia Pty Ltd cannot be held accountable for such delays.
  • Once the website is completed and if the client wishes to keep WGS name confidential then the client also agrees to not keep any other companies name on the website, If the design remains the same designed by WGS and Any external Web design company editing the website on the same design designed by WGS then the client is liable to keep both the web design company name on the website footer as the credit goes to the hard work of both web design agency. If the new web design company changes the whole design then WGS has no authorisation to mention it’s name on the clients website.

You acknowledge that the Service contains information, software, photographs, graphics, keywords and other material (collectively, the “Content”) that is protected by copyright, trademark or other proprietary rights of WGS™ or third parties. All Content on the Service is copyrighted as a collective work of WGS™ pursuant to applicable copyright law.

3. Acceptable Use

  • As a user of the World Global Solutions Australia Pty Ltd Service, you agree to abide by World Global Solutions Australia Pty Ltd Acceptable Use Policy, and to be liable for any charges incurred for excess usage of the service, whether caused by yourself, or by others visiting your website, or sending email to your email account(s). World Global Solutions Australia Pty Ltd will immediately suspend any sites that are we deem to have breached the above policy, and if any illegal activity has been found they may at their discretion contact the appropriate Law Enforcement authorities. World Global Solutions Australia Pty Ltd will not be held liable for any content stored on our servers in directories that are controlled by users.
  • You the user are responsible for making sure that all of your email passwords and website passwords are kept in a secure location. World Global Solutions Australia Pty Ltd will not set usernames and passwords to be the same thing as this breaches our security protocols. If you feel that your password has been compromised you must contact World Global Solutions Australia Pty Ltd via email as soon as possible. World Global Solutions Australia Pty Ltd will not be held liable for any activity that has been undertaken under an account with a compromised password.
  • Service Outages: whilst World Global Solutions Australia Pty Ltd hope there are no server outages we cannot be held responsible for any sort of software failure or hardware failure or internet connection failure. World Global Solutions Australia Pty Ltd will also not be held liable for any loss of income due to Service Outages, it is the customers responsibility to advise World Global Solutions Australia Pty Ltd if they require a guaranteed 80% uptime. World Global Solutions Australia Pty Ltd will do its best to schedule Service Outages outside of business hours to minimize disruption to businesses.

4. Information Posted on World Global Solutions Australia Pty Ltd

By transmitting, uploading, posting or submitting any content to World Global Solutions Australia Pty Ltd you
  • declare such Information is not confidential, secret or proprietary information;
  • warrant that no other party has rights to the Information and that your transmission, posting, uploading or submission of the Information to WGS™ does not violate any copyright or other laws;
  • irrevocably grant World Global Solutions Australia Pty Ltd, a worldwide, royalty free, non-exclusive perpetual, worldwide license to use, display, perform, distribute, modify, reproduce and publish the content in any form anywhere. You must evaluate, and bear the risk associated with, the accuracy, completeness or usefulness of any information available on or through World Global Solutions Australia Pty Ltd.

World Global Solutions Australia Pty Ltd shall not be obligated to actively monitor, review, or otherwise control in any manner, the content users post, upload or transmit through World Global Solutions Australia Pty Ltd. However, World Global Solutions Australia Pty Ltd reserves the right but not the obligation, in its sole discretion, to refuse or remove any Information available on or through World Global Solutions Australia Pty Ltd. Without limiting the foregoing, World Global Solutions Australia Pty Ltd shall have the right to remove any Information that violates these Terms and Conditions of Service or is otherwise objectionable in WGS’s sole opinion. The information on WGS™ may include inappropriate material. By entering or using World Global Solutions Australia Pty Ltd you undertake full responsibility to:

  • determine whether the information complies with your needs and is accurate and when deemed important is confirmed in writing.
  • determine whether you have adequate legal rights to store, reproduce or otherwise use the information in any manner contemplated by you and
  • comply with any legal obligations, including without limitation obligations imposed by copyright, trade secret, defamation, indecency, online conduct and acceptable content, privacy and export laws. If you do not agree to these Terms and Conditions, do not enter or use WGS™.

However, FulfilNET reserves the right but not the obligation, in its sole discretion, to refuse or remove any Information available on or through WGS™ . Without limiting the foregoing

5. Fees and Payments

  • You agree to pay all fees and charges incurred by you or any third party using your Service account (whether or not authorised by you) at the rates in effect for the billing period in which such fees and charges are incurred, including GST 10%
  • Your right to use the Service is subject to any limits established by your credit card company if billing is through a credit card. You shall be responsible for obtaining all telephone, telephone access lines, computer equipment and other products or services necessary to access and use the Service. You shall be responsible for all charges associated with accessing and maintaining a connection to the Service (e.g. charges imposed by an Internet access provider, or your local telephone company).
  • World Global Solutions Australia Pty Ltd shall provide you with website and website hosting services if signed up for WEBSITE DESIGN package.
  • All the payments will have to made on the COMPANY BANK ACCOUNT as per the INVOICE generated.

6. Cancellations and Refund Policy

  • Only World Global Solutions Australia Pty Ltd may, at its sole discretion, allow you to cancel your contract agreement.
  • You must to notify World Global Solutions Australia Pty Ltd if you do not wish to renew your subscription before the end of the contract or end the contract in between.
  • The refund is applicable only if the contract is cancelled within 15 days of the signed date. World Global Solutions Australia Pty Ltd does not offer any refund in any cases if the contract is terminated after 15 days under any conditions whatsoever and has to be agreed by the buyers before making the payments.
  • World Global Solutions Australia Pty Ltd has no refund policy as per the AUSTRLAIAN SERVICE ACT.
  • If your website hosting account is cancelled prior to the end of each annual term, but after your website is built you will not be entitled to a refund of any monies. You are responsible for all charges incurred up to the time the account is terminated, including all annual charges for the year in which termination became effective.
  • World Global Solutions Australia Pty Ltd reserves the right, at its sole discretion, to restrict, suspend or terminate your access to all or any part of the Service at any time for any reason without prior notice or liability if any unusual activity held by the buyer and which feels its harms the COMPANY.
  • World Global Solutions Australia Pty Ltd may change, suspend or discontinue all or any aspect of the Service at any time, including the availability of any Service feature, database, or content, without prior notice or liability.
  • Any fee paid upfront to World Global Solutions Australia for 12 months upfront is equally considered as the acceptance of the contract and terms and agreed by either parties.

7. Disclaimer of Warranties

  • You expressly agree that entering or using of World Global Solutions Australia Pty Ltd is at your own risk. No warranty, representation, condition, undertaking or term – express or implied, statutory or otherwise – including but not limited to the condition, quality, durability, performance, accuracy, reliability, non-infringement, merchantability, or fitness for a particular purpose or use of World Global Solutions Australia Pty Ltd is given or assumed by all such warranties, representations, conditions, undertakings and terms are hereby excluded.
